Terms of Service

The agreement between you and Vacayi LLC.

1. Agreement

These Terms are a contract between you and Vacayi LLC ("vacayi", "we", "us"). By creating an account or using the app you accept them. If you do not accept them, do not use vacayi.

Our Privacy Policy forms part of these Terms.

2. Who may use vacayi

You must be 18 or over and able to enter a contract. vacayi is for adults planning travel, including travel with children — but the account, and everything done under it, is yours.

You are responsible for what happens under your account, including anything a person you share a trip with does.

3. What vacayi is — and what it is not

vacayi generates travel guides using artificial intelligence, personalised to the trip and travellers you describe.

vacayi is a planning tool. It is not:

  • a travel agent, tour operator, or package organiser
  • a booking service — we never book, hold, or pay for anything on your behalf
  • a source of medical, dietary, accessibility, legal, immigration or financial advice
  • a guarantee that any place, price, opening time, route or event described is accurate, available, or suitable for you

We have no relationship with the places in your guide. We do not inspect, endorse, or take responsibility for restaurants, hotels, attractions or transport. Your dealings with them are entirely between you and them.

Booking links, and how we are paid for them

Some links in your guide — typically hotels, car hire, airport transfers, tickets and phone data — go to booking sites that pay us a small commission if you book through them. This never costs you more than going direct.

Two things about this matter more than the disclosure itself, and we hold ourselves to both:

  • Your plan is written first, and the links are added to it afterwards. No commission influences which places we suggest, which order your days run in, or what we say about anywhere. Nobody pays us for a mention, and there is no paid placement in a vacayi guide.
  • Where a place has its own official booking page, we send you there — even though we earn nothing from it. The direct source usually has the real availability and the lower fee, and we would rather you got the better answer.

A booking made through one of these links is a contract between you and that booking site, on their terms, not ours. We are not a party to it. Cancellations, refunds, changes and complaints go to them — see also section 11.

Which booking site a link goes to is decided when you tap it, and may change. We may add, change or drop booking partners at any time.

4. AI-generated content — read this one

Guides are written by an AI model. We ground them against real place data and run automated quality checks, and we instruct the system never to invent facts. None of that makes it infallible.

You must independently verify anything that matters before relying on it, including:

  • allergen and dietary safety — confirm directly with the restaurant, every time
  • accessibility and step-free access — confirm with the venue before travelling
  • opening hours, prices, and whether somewhere is open on a public holiday
  • travel and driving times, and any deadline that depends on them, including cruise all-aboard times and flight check-in
  • emergency numbers, pharmacies and medical facilities
  • visa, passport, vaccination and customs requirements

Guides carry these reminders too. Do not treat a guide as verified fact.

If a guide is wrong, tell us — there is a report option in the app, and it is genuinely how the product improves.

5. Credits

Making a guide costs credits. Opening, reading, editing, downloading and sharing guides you have already made are free, as is the assistant.

  • Credits are a limited, personal, non-transferable licence to use a feature of vacayi. They are not money, not a payment instrument, not a stored-value or gift card, not property, and they have no cash value. They cannot be redeemed for cash, sold, or transferred outside the app's own gifting feature.
  • The credit cost of a guide is shown before you commit, and we charge what we showed you.
  • Credits you buy do not expire. Credits you earn or are given expire 12 months after they are granted. Subscription credits roll over up to the cap shown in the app.
  • If a guide fails to build, its credits are returned automatically.
  • We may change what a guide costs. A change never affects credits you have already spent, and the price you were shown is the price you pay.
  • On account closure, unused credits are forfeited and are not refundable, except where the law requires otherwise.

6. Subscriptions

Pro is an auto-renewing subscription billed through Apple or Google.

  • Payment is charged to your store account at confirmation of purchase.
  • It renews automatically at the same price unless you turn off auto-renew at least 24 hours before the current period ends.
  • You manage and cancel it in your device's account settings, not in vacayi — we cannot cancel it for you.
  • Cancelling stops future renewals. It does not refund the current period, and credits already in your balance remain yours.
  • Prices are shown in your local currency by the store at the point of purchase.

7. Payments and refunds

All purchases are made through Apple's or Google's payment systems and are governed by their terms. We never receive your card details.

  • Refund requests go to Apple or Google, not to us. We cannot issue store refunds.
  • If a purchase is refunded, the credits it bought are removed from your account. If you have already spent them your balance may go below zero, which simply means your next guide needs a top-up first. Nothing else is affected and no guide you already have is taken away.
  • EEA/UK: right of withdrawal. You normally have 14 days to withdraw from a purchase of digital content. By making a guide with credits you asked us to begin supplying that content immediately, and you lose the right of withdrawal for credits you have spent. Unspent credits are unaffected.

8. Your content, and what we may do with it

You keep ownership of everything you provide — your trips, your crew details, your notes and your uploaded images.

You grant us a licence to use that content only to operate vacayi for you: storing it, sending it to our AI providers to build your guide, and showing it to people you share a trip with. That is the whole scope. We do not use your content to train AI models, and we do not use it for advertising.

You confirm that you have the right to provide what you upload. Booking screenshots often contain other people's information — by uploading one you confirm you are entitled to share it.

9. Your guides

Guides are generated for you and are yours to use for your own personal, non-commercial travel. You may keep, print, download and share them with people you are travelling with.

You may not resell guides, publish them as your own product, or use them to build a competing service.

Guides contain material from third parties — place information, photographs, and map data — which remains theirs and is credited in the guide. Your licence to a guide does not extend to extracting that material for other uses.

We may need to change or remove content in a guide if a third-party provider requires it.

Photos you share to a trip

You keep ownership of your photos. By sharing a photo to a trip you grant Vacayi LLC the limited right to store it and display it to that trip's members, until you or the trip's owner remove it. Share only photos you have the right to share; photos that are unlawful or abusive may be removed, and repeated abuse may end your access. To report a photo, use the report button on the photo. Reported photos are handled automatically: the photo is hidden for the reporter at once, the trip's owner is notified and may keep or remove it, a second report from a different person removes it immediately, and any photo still reported after 24 hours is removed for everyone.

10. Acceptable use

Do not:

  • use vacayi to break the law, or to plan anything that harms someone
  • upload content you have no right to, or that is unlawful or abusive
  • attempt to extract our prompts, models, or data, or to reverse-engineer the service
  • use automated means to access the service, or resell access to it
  • interfere with the service or attempt to defeat its limits
  • create accounts to obtain free credits repeatedly, or manipulate the credit, referral or feedback rewards

We may suspend or close an account that does any of this. Where we do, unused credits are forfeited.

11. No warranty

vacayi is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the service will be uninterrupted, that guides will be error-free, or that any place, price, time or route described will be as described.

12. Limitation of liability

To the fullest extent the law allows:

  • We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, or lost travel arrangements.
  • We are not liable for anything arising from your reliance on a guide — including missed transport, closed venues, refused entry, unsuitable access, or an adverse reaction to food — where you did not verify it as section 4 requires.
  • We are not liable for the acts of any third party, including any place, transport operator or venue in a guide.
  • Our total liability to you is limited to the greater of (a) what you paid us in the 12 months before the claim, or (b) US$50.

Nothing in these Terms excludes liability that cannot lawfully be excluded — including, in the EEA and UK, liability for death or personal injury caused by negligence, for fraud, or under consumer law that applies to you regardless of contract. If you are a consumer in the EEA or UK, your statutory rights are unaffected by this section.

13. Indemnity

You will indemnify us against claims arising from your misuse of vacayi, your breach of these Terms, or content you uploaded that you had no right to upload.

14. Suspension and closure

You can delete your account at any time in Settings. Deletion is permanent and removes your guides.

We may suspend or close an account for a breach of these Terms, for unlawful use, or where we must for legal reasons. Where practical we will tell you first.

15. Changes

We may change these Terms. If a change is material we will tell you in the app before it takes effect. Continuing to use vacayi after that means you accept it. If you do not, close your account.

16. Disputes

⚠ EEA/UK consumers: this section does not apply to you. You may bring proceedings in your own country's courts and retain every right your local consumer law gives you.

For users elsewhere: we will each try to resolve a dispute informally first — email support@vacayi.app and give us 30 days.

If that fails, disputes are resolved by binding individual arbitration, and you and we each waive any right to a jury trial or to participate in a class action. Either of us may still bring an individual claim in small-claims court.

17. General

  • Governing law: the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules — except where your local consumer law says otherwise, in which case that law applies.
  • If any provision is unenforceable, the rest stands.
  • These Terms and the Privacy Policy are the entire agreement between us.
  • We may assign these Terms to a successor; you may not assign them.
  • Apple: these Terms are between you and vacayi, not Apple. Apple is not responsible for the app or its content, has no obligation to provide support, and is a third-party beneficiary entitled to enforce these Terms against you.
